These terms govern your use of Elytron Labs products and services, including DripSync, Pollen, and our website at elytron.in. Elytron Labs is operated by Sincero Ventures LLP (“we”, “our”, “us”). By using any of our products or this website, you agree to these terms.

1. Services Description

Elytron Labs provides software tools for e-commerce merchants:

• DripSync: an AI-powered product image synchronization tool for Shopify and WooCommerce that matches and uploads product images from Google Drive.
• Pollen: an AI-powered product data enrichment and agent readiness tool for Shopify and other e-commerce platforms.
• Future products and services we may release.

2. Account Requirements

• You must have an active store on a supported platform (Shopify, WooCommerce, etc.) to use our products.
• You must authorize access to your platform and any third-party integrations (Google, etc.) as required by each product.
• You are responsible for maintaining the security of your accounts and the accuracy of information you provide.
• You must be at least 18 years old to use our services.

3. Subscription & Billing

• Our products may offer free trials. Trial terms are described on each product’s pricing page.
• After the trial, a paid subscription is required to continue using paid features.
• Billing is handled through the relevant platform (Shopify Billing, Stripe, Razorpay, or direct). Charges appear on your platform invoice or payment method statement.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial billing periods unless required by law.
• Prices may vary based on your platform tier, geography, or selected plan. We may change prices with 30 days’ notice to existing subscribers.

4. Acceptable Use

You agree not to:

• Use our products to upload, store, or distribute content that infringes on intellectual property rights
• Use our products to upload illegal, obscene, or harmful content
• Attempt to reverse-engineer, modify, or interfere with our products
• Use automated means to access or scrape our products beyond normal API usage
• Use our products in a way that violates Shopify’s, Google’s, or any other platform’s terms of service
• Resell, sublicense, or make our products available to third parties

5. Data & Privacy

Your use of our products is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

6. Intellectual Property

You retain ownership of all content you upload, enrich, or manage through our products (product data, images, descriptions, etc.). We claim no ownership over your store content. Our products, including the code, AI models, and documentation, remain the property of Elytron Labs (Sincero Ventures LLP).

You grant us a limited license to process your data solely for the purpose of providing the services you’ve subscribed to.

7. AI-Generated Content

Our products use AI to generate content (descriptions, structured data, image matches, etc.). You are responsible for reviewing AI-generated content before publishing it to your store. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for your specific use case.

8. Limitation of Liability

Our products are provided “as is” without warranties of any kind, express or implied. To the maximum extent permitted by law, Elytron Labs and Sincero Ventures LLP are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our products, including but not limited to:

• Incorrect image matching or product enrichment
• Data loss or corruption
• Service interruptions or downtime
• Lost profits or business opportunities

Our total liability is limited to the amount you paid for the relevant product in the 12 months preceding the claim.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications to our products at any time. We will make reasonable efforts to notify you of significant changes or planned downtime.

10. Termination

You may stop using our products at any time by uninstalling them from your store. We may suspend or terminate your access if you violate these terms, fail to pay subscription fees, or engage in abuse. Upon termination, your stored data will be deleted in accordance with our Privacy Policy.

11. Indemnification

You agree to indemnify and hold Elytron Labs and Sincero Ventures LLP harmless from any claims, damages, or expenses arising from your use of our products, your violation of these terms, or your violation of any third-party rights.

12. Governing Law

These terms are governed by the laws of India. Any disputes will be resolved in the courts of Gurugram, Haryana.

13. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or notice on this website. Continued use of our products after changes constitutes acceptance of the updated terms.
